Operator: Tallent Allocation LLC – NameAxis Series (“NameAxis,” “we,” “us,” or “our”), a protected series of Tallent Allocation LLC, a Texas series limited liability company.

1. Agreement

By accessing the Site, requesting a proposal, or purchasing NameAxis products or services, you (“Client,” “you”) agree to these Terms of Service (“Terms”), our Privacy Policy, and our Refund Policy. If you are accepting on behalf of a company, you represent you have authority to bind that company.

If you do not agree, do not use the Site or services.

2. Who We Are / What We Provide

NameAxis provides small-business websites, hosting and care, and AI automation / virtual-staff style tools, including offerings delivered through white-label or reseller platforms (currently contemplated: Votel and related telephony, email, funnel, and agent features).

We may provide:

  • design and build of websites and landing pages;
  • hosting, domain assistance, email, and maintenance (“care”);
  • configuration of automation, AI agents, call/SMS routing, and similar tools;
  • ongoing subscription access to platform features we resell or operate.

Specific deliverables, fees, and timelines are set in an order form, proposal, invoice, or checkout page (each an “Order”). If an Order conflicts with these Terms, the Order controls for that engagement only on the conflicting point.

3. Accounts, Access, and Client Responsibilities

You are responsible for:

  • accurate account and billing information;
  • safeguarding login credentials for any portals we provide or provision for you;
  • content, leads, customer data, and materials you supply (“Client Materials”);
  • compliance with telemarketing, TCPA, CAN-SPAM, privacy, and industry rules when you use calling, SMS, email, or AI outreach features;
  • obtaining consents from your end customers where required.

You grant us a limited license to use Client Materials solely to perform the services. You represent you own or have rights to Client Materials and that they do not infringe others’ rights or violate law.

4. Third-Party Platforms (Including Votel)

Parts of the service may run on third-party platforms (for example Votel, Twilio, email providers, domain registrars, analytics, or payment processors). Those providers have their own terms and privacy policies. We are not responsible for outages, policy changes, pricing changes, or feature removals by third parties, except that we will use reasonable efforts to notify you of material impacts we learn about and to migrate or work around when commercially reasonable.

Where you access a white-label or reseller instance, you may also be required to accept the platform provider’s acceptable-use and anti-abuse rules. Violating those rules is a breach of these Terms.

5. Fees, Taxes, and Recurring Billing

Fees are as stated in the Order. Subscription fees typically bill in advance on a monthly (or other) cycle. One-time setup, design, or onboarding fees may be billed separately.

You authorize us (and our payment processor) to charge your payment method for recurring fees until canceled under the Refund / cancellation policy. Taxes may apply. Late amounts may accrue a reasonable finance charge or suspension of services after notice.

6. Intellectual Property

  • Our IP: Site content, templates, playbooks, non-Client-specific automations, branding, and software we create (excluding Client Materials and third-party platforms) remain owned by Tallent Allocation LLC for the NameAxis Series or its licensors.
  • Your IP: Client Materials remain yours.
  • Work product: Unless an Order says otherwise, upon full payment you receive a non-exclusive license to use custom website content and configurations we deliver for your business. We may reuse general know-how, non-confidential patterns, and pre-existing tools. Portfolio rights: we may display non-confidential project names and screenshots unless you opt out in writing.
  • Platform IP: Votel and other vendors retain their IP; your use is under their licenses as provisioned.

7. Acceptable Use

You will not use the services to: spam; violate TCPA/Do-Not-Call; send unlawful content; infringe IP; probe or attack systems; resell access except as expressly allowed in an Order; or misrepresent affiliation with NameAxis, Votel, or any brand.

We may suspend service for abuse, nonpayment, legal risk, or platform-provider mandate.

8. AI and Automation Disclaimer

AI agents and automations can err, hallucinate, or mis-route communications. Outputs are tools, not professional advice. You remain responsible for supervising AI outputs before they affect customers, money, or legal obligations. We do not guarantee uninterrupted availability, lead volume, conversion rates, or business results.

9. Warranties and Disclaimers

Except as expressly stated in an Order, services and the Site are provided “AS IS.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Tallent Allocation LLC (INCLUDING THE NAMEAXIS SERIES) AND ITS PERSONNEL WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, DATA, OR GOODWILL.

OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR SERVICES WILL NOT EXCEED THE FEES YOU PAID TO NAMEAXIS FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE THREE (3) MONTHS BEFORE THE EVENT. For free evaluation / trial use, liability is capped at US $100.

11. Indemnity

You will indemnify and hold harmless Tallent Allocation LLC (including the NameAxis Series) from claims arising from Client Materials, your use of calling/SMS/email/AI features, your end-customer disputes, or your breach of these Terms or law, to the extent permitted by law.

12. Confidentiality

Each party will protect the other’s non-public business information with reasonable care and use it only to perform under these Terms. This does not cover information that is public, independently developed, or required to be disclosed by law.

13. Term and Termination

These Terms apply while you use the Site or services. Either party may terminate an Order as stated in the Refund Policy or the Order. We may terminate immediately for material breach, illegal use, or platform-forced suspension. Sections that by nature should survive (IP, liability, indemnity, confidentiality, governing law) survive termination.

14. Changes

We may update these Terms by posting a revised version with a new “Last updated” date. Material changes to ongoing paid subscriptions will be communicated by email or Site notice when practical; continued use after the effective date constitutes acceptance, except where an Order requires signed amendment.

15. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Exclusive venue is the state or federal courts in Harris County, Texas, subject to any non-waivable consumer protections (these services are intended for businesses).
